Terms of Service

Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the Notecaster web application (the "Service") operated by Notecaster ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Accounts

When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service (like Google).

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. User Content and Intellectual Property

  • Your Content: You retain all rights to the Notebooks, Notes, Notables, and other content you create, upload, store, or submit to the Service ("User Content"), including any text, images, or transcriptions derived from your audio or image uploads.
  • License to Notecaster: By submitting User Content to Notecaster, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content solely for the purpose of operating, improving, and providing the Service to you. This includes, but is not limited to, storing your content on Supabase, processing it with Google Gemini for transcription, OCR, or AI-powered features, and displaying it within the application.
  • Service Intellectual Property: The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Notecaster and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Notecaster.

3. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are prohibited from:

  • Unlawful Activities: Engaging in any activity that is illegal or prohibited by laws in your jurisdiction.
  • Harmful Content: Uploading, posting, or transmitting any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Misuse of Service: Interfering with or disrupting the integrity or performance of the Service or the data contained therein.
  • Unauthorized Access: Attempting to gain unauthorized access to the Service or its related systems or networks.
  • Spamming: Transmitting unsolicited bulk communications or spam.
  • Reverse Engineering: Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying algorithms of the Service.
  • Impersonation: Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

4. AI-Powered Features and Disclaimers (Google Gemini)

Notecaster utilizes artificial intelligence (AI) models, specifically Google Gemini, for features such as transcribing audio, performing OCR on images, and generating text from your input (e.g., summarizing notes). Please be aware of the following:

  • Accuracy Disclaimer: AI-generated content may be inaccurate, incomplete, biased, or non-factual. We do not guarantee the accuracy, completeness, or reliability of any content generated by AI features. You should not rely on AI-generated content as factual or authoritative.
  • User Responsibility: You are solely responsible for reviewing, validating, and using any AI-generated content. You bear all risks associated with your use of AI-generated content.
  • No Confidentiality/Privacy Guarantee for AI Input: While we strive to protect your data as outlined in our Privacy Policy (e.g., not allowing Google to use your data for training general-purpose LLMs), no AI system is foolproof. Do not submit highly sensitive, confidential, or personally identifiable information through AI features if you are not comfortable with the inherent risks of transmitting data for processing.

5. Third-Party Services

Notecaster integrates with and relies on various third-party services, including Supabase (for backend database) and Google (for authentication, Gemini LLM, voice processing, and OCR). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us at info@notecaster.app or, if available, through the account settings within the Service.

7. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Notecaster does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

8. Limitation of Liability

In no event shall [Your Name/Company Name], nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless Notecaster and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) User Content posted on the Service.

10. Age Restrictions

The Service is not intended for use by children under the age of 13. By using Notecaster, you affirm that you are at least 13 years of age. If we become aware that we have inadvertently collected personal information from a child under 13, we will take steps to delete that information as soon as possible.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Maine, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
